Terms of Service

The agreement between you and Drool Limited for using Drool Community.

1. About these terms

This is a legal agreement between you and Drool Limited. By accessing or using Drool Community you indicate your consent to be bound by these Terms of Service ("Terms"). We have tried to keep them easy to read, so please read them to understand what you may and may not do, and what we may and may not do. If you have any questions, email us at alex@drool.design before you start using the Service.

If you do not agree to these Terms, you are not permitted to use the Service and should stop using it. You may withdraw your consent at any time by closing your account or emailing us; withdrawal only takes effect for your future use of the Service.

2. Who we are, and what the Service is

In these Terms, "we", "us" and "our" mean Drool Limited, a company registered in England and Wales under company number 12979799, whose registered office is at 8 Sycamore Street, London, England, EC1Y 0SW, together with our employees, affiliates and partners as the context requires. "You" and "your" mean the person using the Service.

Drool Community is a membership community and toolset for freelance designers and studios, provided through our website at drool.community and the member hub (together, the "Service"). It includes tools such as client feedback and review, quoting, a client portal, a shared workspace, a members' community and events. These Terms apply to your use of the Service.

3. Your account and eligibility

The Service is intended for professional use by adults. You must be at least 18 years old and able to enter into a binding contract to use it. If you use the Service on behalf of a business, you confirm you are authorised to bind that business to these Terms.

Membership is by application, and we may accept or decline any application at our discretion. You are responsible for your login details and for all activity under your account. Tell us promptly if you believe your account has been accessed without your permission.

4. Membership, plans and payment

We offer a free plan and paid plans, as described on drool.community. Paid plans are billed in advance through our payment processor. Full billing terms are in our Payment Policy, and your cancellation and refund rights are in our Refund Policy; both form part of these Terms.

We may change our plans and prices. Where a change materially affects you we will give reasonable notice, and any price change applies only from your next renewal, never to a period you have already paid for.

5. Your content

The Service lets you upload, store, create, send and share content, including quotes, project files, comments, links, screenshots and information about your own clients ("Your Content"). You keep all ownership of, and intellectual property rights in, Your Content.

You grant us a limited, worldwide, non-exclusive, royalty-free licence to host, store, process, display and transmit Your Content solely to operate and provide the Service to you and the people you choose to share it with (such as your clients). We do not sell Your Content, and we do not use it to train third-party AI models.

You are responsible for Your Content and confirm you have the rights and permissions needed to upload and share it. You must not upload content that is unlawful, infringing, defamatory, malicious, or that you do not have the right to share. We may remove or decline to host any content that breaches these Terms.

6. Your clients' personal data

When you use the Service to quote, collect feedback from, or share work with your own clients, you decide what personal data about them to add. For that data you are the data controller and we act as your processor, handling it on your instructions to provide the Service. You are responsible for having a lawful basis and any permissions needed, and for giving your clients any privacy information they are entitled to. See our Privacy Policy and Data Management documents.

7. Software and intellectual property

We grant you a personal, worldwide, royalty-free, non-assignable and non-exclusive licence to use the Service in line with your plan for as long as your membership is active. You may not copy, modify, distribute, sell or lease any part of the Service or its software.

Using the Service does not give you ownership of any intellectual property rights in it or its content. "Drool Community", "Drool Design Studio", our logos and trade marks may not be used without our prior written permission. Some content shown in the Service may belong to third parties and remains their responsibility.

8. Acceptable use

You may use the Service only for lawful purposes and in line with these Terms and our other policies. You must not: use the Service for unlawful purposes; access or tamper with our servers or systems; probe or test the security of the Service without our written permission; interfere with or disrupt the Service for others; upload malware; scrape or harvest data other than your own; resell or sublicense the Service without our agreement; or otherwise abuse or misuse the Service.

We decide, acting reasonably, what constitutes abuse or misuse, and may investigate, suspend or terminate access where your use breaches these Terms or our policies. We use automated processes to reduce errors, but we cannot guarantee the Service or its data are free from errors or omissions, and you acknowledge this risk.

9. Availability, changes and monitoring

We may withdraw, suspend, interrupt or change features or the whole Service, and we may add, alter or remove features over time, without prior notice where reasonable. We provide the Service on an "as available" basis and do not promise it will be uninterrupted or error-free.

We may monitor, record and collect statistics and diagnostic information (logs) when you use the Service, to understand usage, keep it secure, improve it, carry out research and provide support, as described in our Privacy Policy.

10. Data protection

We take the protection of your data seriously. Our full obligations and rights, and yours, are set out in our Privacy Policy and Data Management documents. You can direct any data protection or privacy questions to us at alex@drool.design. We can generally only offer support in English.

11. Disclaimer of warranties

The Service and any content made available through it are provided "as is" and "as available", without warranties of any kind, express or implied, including that the Service will operate error-free or that it or its servers are free of viruses or other harmful components. We may make changes, corrections and improvements to the Service at any time.

12. Limitation of liability

Nothing in these Terms limits or excludes our liability where it would be unlawful to do so, including liability for death or personal injury caused by our negligence, or for fraud.

Subject to that, to the fullest extent permitted by law we are not liable for any indirect or consequential loss, or for loss of profits, business, contracts, anticipated savings, data or goodwill, arising in contract, tort (including negligence), breach of statutory duty or otherwise, out of or in connection with your use of (or inability to use) the Service. We strongly recommend you keep your own backups of anything important. We are not liable for failures caused by events beyond our reasonable control.

Subject to the paragraph above, our total liability to you arising out of or in connection with the Service in any 12-month period is limited to the amount you paid us for the Service in that period (or £50 if you are on the free plan). If you use the Service as a consumer, these Terms do not affect your statutory rights.

13. Indemnity

You agree to indemnify and hold us and our officers, directors, employees, agents and partners harmless from any losses, liabilities, claims and reasonable expenses (including legal fees) arising from your breach of these Terms, your misuse of the Service, or your violation of any third-party rights, including intellectual property or privacy rights.

14. Suspension and termination

You may stop using the Service at any time and cancel your membership from the hub or by contacting us. We may suspend or terminate your access at any time, including where you breach these Terms or our policies, where your payment fails and is not resolved, where we stop offering the Service in your region, or where it is necessary to protect the Service, our community or a third party.

When your membership ends, your right to use the Service stops and you may lose access to your account, content and data, so please export anything you want to keep beforehand. Any refund due on termination is dealt with under our Refund Policy.

15. Changes, assignment and entire agreement

We may update these Terms from time to time. Where a change materially affects you we will give reasonable notice (for example by email or a notice in the hub); your continued use after a change takes effect means you accept the updated Terms.

We may transfer our rights and obligations under these Terms to another entity; you may not transfer yours without our consent. These Terms, together with the policies referred to in them, are the entire agreement between us about the Service.

16. Governing law and contact

These Terms, and any dispute arising out of them or the relationship between us, are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction, except that if you are a consumer, mandatory law may allow you to bring proceedings in your local courts.
